Important Notice (NSW Fair Trading Disclosure)

Under Section 47A of the Fair Trading Act 1987 (NSW), we are required to disclose terms that may substantially prejudice your interests. Please read carefully:

  • Use at Your Own Risk (Section 8): You use this service at your own risk. We do not guarantee AI accuracy.
  • Professional Indemnity (Section 8): You agree to indemnify us against any claims resulting from your use of AI outputs in your professional practice.
  • Data Sovereignty (Section 5): All data is stored and processed exclusively in Australia.
  • Mandatory Data Deletion (Section 11): You must retrieve and remove your data within 30 days of subscription termination; otherwise, it will be permanently deleted.

1. The Agreement

These Terms of Service ("Terms") govern the use of the websites prospo.ai and uiof.ai (the "Websites") and the software-as-a-service products provided by Cognitivo Pty Ltd ("we", "us", or "our"). By subscribing to or using our Services, you agree to be bound by these Terms.

2. Professional Use & No Advice

  • Intended Use: The Services are professional tools designed for financial planners and business professionals.
  • No AFSL: Cognitivo Pty Ltd is a technology provider and does not hold an Australian Financial Services Licence (AFSL). The Services do not constitute "financial product advice." You acknowledge that you use the Services as a professional aid and remain solely responsible for any advice provided to your clients.

3. Intellectual Property & Anti-Reverse Engineering

  • Ownership: Cognitivo Pty Ltd retains all rights, title, and interest in the software, algorithms, proprietary prompt structures, and branding.
  • Prohibited Conduct: You must not, and must not permit any third party to:
    • (a) Decompile, disassemble, or reverse engineer the Services or attempt to derive the source code or underlying AI logic;
    • (b) Use the Services to build a competitive product;
    • (c) Access the Service to monitor performance for benchmarking or competitive purposes.
  • Termination: Any attempt to reverse engineer our proprietary workflows will result in immediate termination of service and legal action.

4. User Data

  • Ownership: You retain ownership of all data you upload ("Input").
  • Client Consent: You represent that you have obtained all necessary consents from your clients to upload their data to our platform for processing.

5. Australian Data Sovereignty & Security

  • Onshore Storage: We guarantee that all Subscriber data is stored "at rest" in secure data centers physically located within Australia (Microsoft Azure regions).
  • Onshore Processing: We utilize Microsoft Azure OpenAI (Australian Regions) for summarisation, file-noting, and email drafting. Your data is not routed overseas.
  • Privacy Assurance: Using enterprise-grade infrastructure ensures your data is not used by Microsoft or any third party to train global AI models.

6. AI Outputs ("Hallucinations") & Oversight

  • Nature of AI: You acknowledge that generative AI is probabilistic and may produce content that is factually incorrect, incomplete, or misleading ("hallucinations").
  • Mandatory Review: It is a fundamental condition of use that the Subscriber must manually review and verify the accuracy of every output generated before it is shared with a client or filed for compliance.

7. Fees & Automatic Renewal

  • Billing: Fees are payable in advance. Subscriptions renew automatically unless cancelled via your account dashboard.
  • Price Changes: We may change fees by providing 30 days' notice.

8. Limitation of Liability, Indemnity & Risk

  • 8.1 Use at Own Risk: To the maximum extent permitted by law, your use of the Services is at your sole risk. The Services are provided on an "as-is" basis. Cognitivo Pty Ltd expressly disclaims all warranties regarding the accuracy of AI-generated outputs.
  • 8.2 Subscriber Indemnity: You agree to indemnify, defend, and hold harmless Cognitivo Pty Ltd (and its directors and employees) from and against any and all claims, losses, or expenses (including legal fees) arising out of:
    • (a) Your use of the Services in your professional practice;
    • (b) Any documents or advice you provide to third parties based on the Services;
    • (c) Your failure to manually verify AI-generated content.
  • 8.3 Liability Cap: Subject to the Australian Consumer Law, our total cumulative liability is limited to the total fees paid by you in the 12 months preceding the claim. We are not liable for any indirect or "consequential loss."

9. Termination

We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or if we suspect an attempt to reverse engineer our technology.

10. Post-Termination Data Removal

  • 30-Day Window: Upon termination, you have 30 days to export your data.
  • Mandatory Removal: You are responsible for removing sensitive client data within this 30-day window.
  • Permanent Deletion: After 30 days, Cognitivo Pty Ltd will permanently delete all data associated with your account. We are not liable for data loss once this period has expired.

11. Governing Law

These Terms are governed by the laws of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts in Sydney.
