1. Acceptance of Terms
By accessing or using the Prospo AI platform, you agree to be bound by these Terms of Service. If you are using the platform on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.
2. Description of Service
Prospo AI provides a cloud-based practice management platform for financial advisers, including CRM, meeting orchestration, document management, e-signatures, financial planning tools, and AI-powered automation. Features may vary by subscription plan.
3. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised use. Prospo AI is not liable for losses resulting from unauthorised access to your account.
4. Subscription & Billing
Paid plans are billed in advance on a monthly or annual basis. Prices are listed in Australian Dollars (AUD) and exclude applicable taxes. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
5. Acceptable Use
You agree not to use the platform to: violate any applicable law or regulation; upload malicious code or attempt to compromise system security; interfere with other users' access to the service; or use the platform for any purpose other than legitimate financial advisory practice management.
6. Data Ownership
You retain all rights to the data you upload to or create within the platform. Prospo AI does not claim ownership of your content. We use your data solely to provide and improve the service, as described in our Privacy Policy.
7. Intellectual Property
The Prospo AI platform, including its design, code, features, and branding, is the intellectual property of Prospo AI Pty Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the platform for the duration of your subscription.
8. Limitation of Liability
To the maximum extent permitted by law, Prospo AI shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform. Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.
9. Termination
We may suspend or terminate your access if you breach these terms. Upon termination, your right to use the platform ceases immediately. You may request an export of your data within 30 days of termination.
10. Governing Law
These terms are governed by the laws of New South Wales, Australia. Any disputes shall be resolved in the courts of New South Wales.
